Terms and Conditions

1. Parties to the Agreement

This User Agreement (hereinafter referred to as the “Agreement”) is concluded between the online service for the exchange of digital currencies, Ace Xchanger (hereinafter referred to as the “Service” or “Contractor”), and the individual or legal entity utilizing the platform (hereinafter referred to as the “User” or “Customer”).

2. Terms and Definitions

  • Digital Currency Exchange: The automated web-based product provided by the Service to facilitate the exchange of digital and fiat assets.
  • User: A natural or legal person who accepts the terms of this Agreement and utilizes the Service.
  • Digital Currency: A standard unit of a particular payment systеm, cryptocurrency, or token representing electronic value.
  • Application (Order): Information transmitted by the User via the Service’s portal indicating their exact intent to execute a transaction on the terms proposed by the Service.
  • AML/KYC Policy: Anti-Money Laundering and Know Your Customer rules implemented by the Service in accordance with FATF guidelines to prevent illicit financial activities.

3. Terms and Conditions of the Agreement

These rules constitute a Public Offer. The Public Offer enters into force at the moment the User submits an Application. The creation of the Application by the User confirms their exact intention to execute a transaction under the proposed conditions. The Application must be paid by the User within the specified timeframe (Timeout) before it expires.

The Service Agreement comes into force the moment the Service receives the full Digital Currency amount specified in the Application. Transactions are accounted for strictly according to the rules, regulations, and blockchain confirmations of the respective electronic payment systems. The agreement remains valid until the transaction is fully settled or terminated by either party under the conditions outlined herein.

4. Matter of the Agreement

The Service undertakes to perform the digital currency exchange on behalf of the User for a commission. The exchange is executed according to the rate specified in the Application, provided the User transfers the funds within the allotted time. The Service undertakes to transfer the exchanged funds to the exact account details specified by the User. Any exchange margin, spread, or profit generated at the time of the exchange is retained by the Service as a premium for its commission services.

5. Financial and Operational Provisions

5.1. Discrepancies in Amounts: If the Service receives an amount that differs from the amount indicated in the Application, the Service recalculates the exchange based on the actual received amount. If this amount exceeds the Application amount by more than 10%, the Service reserves the right to terminate the exchange and refund the funds to the User’s source account, minus applicable network and administrative fees.

5.2. Non-Delivery of Funds by the Service: If the Service fails to dispatch the exchanged funds to the User within 24 hours (excluding AML/KYC holds or payment systеm outages), the User has the right to demand the termination of the agreement and a full refund. Refunds will be processed within 24 hours of the termination request, provided the delay was not caused by external payment gateways.

5.3. Non-Receipt of Funds from the User: If no funds arrive from the User within the specified Application timeout period, the agreement is automatically terminated. If the funds arrive after the deadline, the Service will either recalculate the exchange at the current market rate or refund the funds minus network fees, at the User’s request.

5.4. External Delays: The Service is not liable for any damages or delays in transfers caused by external payment systems, blockchain network congestion, or third-party bank holds.

5.5. Erroneous Details: The Service bears absolutely no liability for funds lost due to the User providing incorrect, incomplete, or erroneous receiving account details.

6. AML/KYC and FATF Compliance

6.1. Zero Tolerance: It is expressly prohibited to use the Service for money laundering, terrorist financing, fraud, tax evasion, or purchasing illegal goods. By using the Service, the User agrees to be held legally and criminally liable for any fraudulent actions under applicable international laws.

6.2. Mandatory Verification: In strict accordance with FATF recommendations and our AML/KYC Policy, the Service utilizes automated risk-scoring systems. If a transaction is flagged as suspicious or High-Risk, the Service reserves the absolute right to suspend the exchange and demand that the User undergo Enhanced Due Diligence (EDD), including Identity Verification (KYC) and providing Source of Funds (SoF) documentation.

6.3. Information Disclosure: The Service is obligated and entitled to report suspicious activities and release electronic currency transfer records to law enforcement bodies, regulatory agencies, and the administration of payment systems upon official request.

7. Rate Fixing Rules for Cryptocurrencies and Fiat

7.1. Cryptocurrency rates are heavily dependent on market volatility. The exchange rate is tentatively fixed at the moment the Application is created and is guaranteed ONLY if the User transfers the exact funds within the stated 20-minute timeout window.

7.2. If the payment is received (or receives the required blockchain confirmations) AFTER the 20-minute window, the Service’s automated systеm reserves the right to recalculate the payout amount based on the current, real-time market rate at the moment the funds actually credit to the Service’s wallet.

7.3. In the event of extreme market volatility (a price fluctuation of more than 5% during the processing period), the Service reserves the right to suspend the automatic payout, recalculate the rate, or offer a refund to the User.

8. Liability Disclaimer

8.1. General Disclaimer: The Service is a digital currency exchange medium; it is not a traditional online bank, investment fund, or licensed financial advisory institution. The Service facilitates the conversion of digital assets between endpoints.

8.2. High-Risk Investments: The Service expressly prohibits the use of its platform for interacting with High-Yield Investment Programs (HYIPs), Ponzi schemes, Darknet Marketplaces, or unlicensed multi-level marketing (MLM) schemes. The Service bears absolutely no liability for financial losses incurred by the User engaging with third-party investment platforms.

8.3. Refusal of Service: The Service reserves the right to refuse service, cancel an application, or deny access to the platform to any client without providing an explanation, provided all deposited funds are lawfully refunded (excluding proven fraudulent assets).

9. Contingencies (Force Majeure)

If unforeseen circumstances (Force Majeure) prevent the Service from complying with the terms of this Agreement—including but not limited to server outages, cyber-attacks, legislative bans, or global payment network failures—the execution of the Application is delayed until the Force Majeure is resolved. The Service is not financially liable for overdue obligations caused by such events.

10. Prohibited Jurisdictions

In adherence to international FATF guidelines and global sanctions regimes (OFAC, UN, EU), the Service strictly prohibits users (citizens or residents) from the following jurisdictions from utilizing the platform:

  • Afghanistan, Burundi, Central African Republic, Côte d’Ivoire, Crimea (and other temporarily occupied territories), Democratic Republic of the Congo, Iran, Iraq, Laos, Lebanon, Liberia, Libya, Myanmar (Burma), North Korea (DPRK), Papua New Guinea, Sierra Leone, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Zimbabwe.
  • Furthermore, transactions associated with unrecognized or self-proclaimed territories (e.g., DPR, LPR, Abkhazia, South Ossetia, Transnistria, Northern Cyprus) are strictly prohibited.

11. Claims and Disputes

All claims, disputes, and requests for resolution under this Agreement must be submitted to the Service electronically via the official support email specified on the website. The Service undertakes to respond to all formal claims within 48 business hours.
